Full version yes, but OEM disk's are tied to a motherboard when you install them( but they are alot cheaper). So if you ever have to change your mtoherboard you have to give Microsoft a ring and gripe at em to give you a new key.

Yeah, thats the full OEM version of Win7 Pro.

Yeah, you can still upgrade whatever you want, even the motherboard.. You will just have to give MS a call though to get it activated. I've had to do this myself before.
