Ok Im upgrading my CPU from an Athlon 64X2 4000+ to a 5200+. Basically a .7 GHz differance in speed. Do I need a new heat sink? will one come with it? Or is my old one fine?

Im also upgrading my RAM from 2 gigs DDR2 667MHz to 4gigs DDR@ 800MHz. will I see any differance in performance with these upgrades?

You will see a differnce in performance.
For the 5200+, did you get an OEM or Retail version? If it's OEM, then you need a heatsink, but you could just re-use your old one.

sorry dont know what OEM means. Im buying it off Tigerdirect.com if that answers that question.

Hm.
Simple question, then.
Does it come in a box with the manual and everything, or just in a box with JUST the processor?
Either way, you're okay since you already have a heatsink that will work.

Ok I checked the info on the site again. fan is not included. But if your sure that my old one will cool it fine than all I need to get now is thermal paste. Thanks!

Yes, I'm sure your old heatsink can cool it just fine.
I'm sure they have the same voltage and one just has a higher CPU multiplier.
English- You're good. lol
