K, your PSU is good. Honestly I don't think upgrading your cpu will do a big different in game performance. Most every game only uses 1 core, duel core compatibilities is getting more and more common but you still don't see too much quad core support right now.

You will see a difference while doing multiple things like browsing the web while running anti-virus and defragmenting all at the same time though, that's what's great about quads

Would I upgrade if I had your setup and extra money? yes. Would I go backrupt for it? no

actually a lot of games utilize dual core, and there are a couple that use 4 pretty efficiently now. but you'll be able to easily upgrade to the 940 no problems. once you're there you will want to upgrade in the gpu department maybe in a couple of months or whenever you can then you'll be set for awhile, but to do so you will most likely need a psu upgrade too

Im probably going to upgrade my gpu once the nvidia 300 series comes out. Possibably the GTX 260 oc'd.

But definitely wait on the GPU if you're getting Nvidia.

I got the 9800GT. I might wait till next christmas possibably or end of the summer.

Summer would be a great time to buy, Christmas is a longer wait but even better chance for the prices to drop.

If it were me I'd say that your CPU is fine for like 99% of games these days. If I were to upgrade your setup for better gaming performance I'd get another 9800GT and SLI it up.
Which would probably require another mobo...

But I'm poor so as long as it works with enough fps to look smooth I'm happy. I'm running a AMD Athlon 64 X2 4400+ with an on board graphics card. =D

Yeah it sucks... My money goes to college. =(
